The case is designed for a Master corporate governance course and would work well in most family business courses. It gives the students the opportunity to analyze the evolution of the corporate governance structure of a large international family business in the food industry over 30 years. It invites students to offer the Company recommendations for maintaining an efficient and strategic decision-making processes. Depending on the instructor's objectives, the material can be analyzed through different and complementary perspectives (Agency theory, Stewardship theory, Managerial hegemony, Resource dependence, Resource-based view, etc). It also offers the opportunity to analyze how trust and control relationships are developed between the board and management over the years.
